Ready1Go Terms of Service / End User License Agreement

Version 1.0 — Effective: 3 May 2026

PLEASE READ THESE TERMS CAREFULLY. BY CLICKING “I AGREE,” COMPLETING REGISTRATION, OR ACCESSING THE PLATFORM IN ANY MANNER, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL DOCUMENTS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

These Terms of Service (“Terms” or “Agreement”) constitute a legally binding contract between you (the “User” or “Customer”) and Ready1Go Technologies, Chandigarh, India (“Ready1Go”, “we”, “us”). These Terms are issued and shall be enforceable under and in compliance with the following applicable Indian laws:

  • Information Technology Act, 2000 (“IT Act”) and rules thereunder
  • Information Technology (Amendment) Act, 2008
  • Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“Intermediary Rules”)
  • Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“SPDI Rules”)
  • Digital Personal Data Protection Act, 2023 (“DPDP Act”)
  • Indian Contract Act, 1872
  • Specific Relief Act, 1963
  • Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020
  • Copyright Act, 1957 and Copyright (Amendment) Act, 2012
  • Trade Marks Act, 1999
  • Patents Act, 1970
  • The Competition Act, 2002
  • Goods and Services Tax Act, 2017 (CGST / IGST / SGST)
  • Income Tax Act, 1961
  • Foreign Exchange Management Act, 1999 (“FEMA”) and RBI regulations
  • Prevention of Money Laundering Act, 2002 (“PMLA”)
  • Arbitration and Conciliation Act, 1996
  • Code of Civil Procedure, 1908
  • Indian Penal Code, 1860 / Bharatiya Nyaya Sanhita, 2023 (as applicable)
  • All other central and state legislation applicable to software-as-a-service businesses in India

1. Definitions

1.1 “Agreement” — these Terms together with the Master Service Agreement, Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund & Cancellation Policy.

1.2 “Authorised Users” — individuals permitted to access the Platform under your Subscription up to the seat limit of your plan.

1.3 “Company / Ready1Go” — Ready1Go Technologies, Chandigarh, Punjab, India.

1.4 “Customer Data” — all data, records, files, and content submitted by you or your Authorised Users to the Platform.

1.5 “Intellectual Property Rights” — all patents, copyrights, trademarks, trade secrets, database rights, design rights, and all other proprietary rights worldwide, whether registered or unregistered, including rights under the Copyright Act, 1957, Trade Marks Act, 1999, and Patents Act, 1970.

1.6 “Platform” — the Ready1Go CRM software, web application, APIs, mobile interfaces, and all related services and Documentation.

1.7 “Subscription” — the paid access entitlement purchased under the Master Service Agreement.

1.8 “SPDI” — Sensitive Personal Data or Information as defined under Rule 3 of the SPDI Rules.

2. Acceptance and Eligibility

2.1 By registering, these Terms form a valid contract under the Indian Contract Act, 1872. You represent that you are of legal contracting age (18 years or older under Indian law), have the authority to bind your organisation, and are not barred from entering contracts under applicable law.

2.2 If you are registering on behalf of a company, partnership, or other legal entity, you represent that you have the authority to bind that entity. The entity shall be jointly and severally liable with you for obligations under this Agreement.

2.3 Ready1Go reserves the right to refuse service, suspend, or terminate accounts at its sole discretion including for compliance with applicable law or regulatory directions.

3. License Grant

Subject to full compliance with this Agreement and timely payment of all fees, Ready1Go grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business operations during the active Subscription term, by no more than the permitted number of Authorised Users, and in strict accordance with the Documentation. This licence is personal to you and your organisation and does not constitute a sale of software or any transfer of Intellectual Property Rights.

4. Restrictions

You shall not, and shall ensure your Authorised Users do not: (a) copy, modify, translate, or create derivative works of the Platform in violation of the Copyright Act, 1957; (b) reverse engineer, decompile, or disassemble the Platform; (c) sublicense, sell, resell, transfer, or assign the Platform or your access to it; (d) use the Platform to build any competing product or service; (e) use the Platform on a bureau or time-sharing basis for third parties without written authorisation; (f) remove or obscure any proprietary notices; (g) circumvent or disable any security or access-control mechanism in violation of the IT Act, s.66; (h) introduce malicious code, viruses, or harmful software constituting an offence under IT Act s.43, s.66, or the Bharatiya Nyaya Sanhita; (i) use automated bots or scrapers except via Ready1Go’s published APIs; (j) use the Platform in any way that damages or impairs Ready1Go’s systems or reputation; (k) use the Platform for any activity prohibited under PMLA, FEMA, or any financial regulation; (l) use the Platform to violate any applicable export control laws.

5. Intellectual Property

5.1 Ready1Go and its licensors retain all right, title, and interest in and to the Platform including all source code, object code, algorithms, databases, and Documentation. No title or ownership is transferred to you. The Platform is protected under the Copyright Act, 1957, Trade Marks Act, 1999, and other applicable IP laws.

5.2 You retain ownership of Customer Data and grant Ready1Go a worldwide, royalty-free licence to host, process, and display it solely to provide the Services.

5.3 Any Feedback you provide is voluntarily given and may be used by Ready1Go without restriction, accounting, or compensation. This constitutes an irrevocable assignment of all rights in that Feedback.

5.4 Ready1Go may compile and use anonymised, aggregated data derived from Platform usage for product improvement, statistical analysis, and benchmarking, provided no individual or organisation is identifiable.

5.5 Infringement of Ready1Go’s Intellectual Property Rights may subject you to civil remedies under the Copyright Act, 1957 and Trade Marks Act, 1999, as well as criminal prosecution under applicable law.

6. Data and Privacy

Processing of personal data is governed by our Privacy Policy and the DPDP Act, 2023, IT Act, 2000, and SPDI Rules, 2011. You are responsible for obtaining all necessary consents from your data subjects before submitting their data to the Platform and for compliance with applicable data protection laws. You indemnify Ready1Go against all claims arising from your failure to do so.

7. Acceptable Use

You are solely responsible for all activity under your account. Use of the Platform for any unlawful, abusive, or prohibited purpose is strictly forbidden and may constitute a criminal offence under the IT Act, Bharatiya Nyaya Sanhita, or other applicable laws. Refer to our Acceptable Use Policy for detailed rules. Ready1Go acts as an intermediary under the IT Act and the Intermediary Rules; it is not responsible for third-party content uploaded to the Platform by Customers.

8. Taxes and Payments

All fees are exclusive of GST and other applicable taxes under the CGST Act, 2017, IGST Act, 2017, and relevant State GST Acts. You are responsible for payment of all applicable taxes on fees billed to you. Ready1Go will issue GST-compliant tax invoices. Non-residents are responsible for withholding tax compliance under the Income Tax Act, 1961, and FEMA, 1999.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY THE CONSUMER PROTECTION ACT, 2019, THE IT ACT, AND ALL OTHER APPLICABLE LAWS, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING: (a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (b) WARRANTIES THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS; (c) WARRANTIES OF UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION; (d) WARRANTIES AS TO ACCURACY OR COMPLETENESS OF DATA. YOUR USE IS ENTIRELY AT YOUR OWN RISK. NOTHING IN THIS CLAUSE EXCLUDES MANDATORY WARRANTIES THAT CANNOT BE EXCLUDED UNDER APPLICABLE CONSUMER PROTECTION LAW.

10. Limitation of Liability

10.1 Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY THE INDIAN CONTRACT ACT, 1872, THE SPECIFIC RELIEF ACT, 1963, AND APPLICABLE LAW, READY1GO’S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (a) FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (b) INR 5,000.

10.2 Exclusion of Consequential Damages. IN NO EVENT SHALL READY1GO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THEIR POSSIBILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10.3 THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK, WERE BARGAINED FOR AS A MATERIAL INDUCEMENT FOR READY1GO TO ENTER INTO THIS AGREEMENT, AND REFLECT AN INFORMED VOLUNTARY ACCEPTANCE OF RISK AS CONTEMPLATED BY SECTION 23 OF THE INDIAN CONTRACT ACT, 1872. NOTHING HEREIN EXCLUDES LIABILITY FOR FRAUD, WILFUL DEFAULT, OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE PROHIBITED BY MANDATORY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ready1Go and its officers, directors, employees, agents, and successors from all third-party claims, liabilities, damages, costs, and legal fees arising from: (a) your breach of this Agreement; (b) your use or misuse of the Platform; (c) your Customer Data including any SPDI; (d) your violation of any law including the IT Act, DPDP Act, PMLA, or any consumer-protection legislation; (e) your violation of any third-party right; or (f) gross negligence or wilful misconduct by you or your Authorised Users. This indemnity obligation survives termination of this Agreement.

12. Term and Termination

12.1 This Agreement commences on acceptance and continues until your Subscription expires or is terminated.

12.2 Ready1Go may suspend or terminate immediately, without liability, if: (a) you breach this Agreement; (b) fees remain unpaid beyond the due date; (c) required by a court, government authority, or applicable law; (d) Ready1Go discontinues the Platform; or (e) your use poses a risk to the Platform or other customers.

12.3 Upon termination: all licences cease immediately; you must cease all use; after a 30-day grace period Ready1Go may permanently delete your Customer Data. Provisions that by their nature should survive termination (Sections 5, 10, 11, 13) shall do so.

13. Governing Law and Dispute Resolution

13.1 This Agreement is governed exclusively by the laws of India, including all statutes listed in the preamble above, without regard to conflict-of-law principles.

13.2 The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice.

13.3 If unresolved, disputes shall be submitted to binding arbitration seated in Chandigarh, India, conducted under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement (or, failing that, by the High Court of Punjab and Haryana). Proceedings shall be in English. The award shall be final and enforceable under the Code of Civil Procedure, 1908.

13.4 Nothing prevents Ready1Go from seeking urgent injunctive or equitable relief before a competent court, including the High Court of Punjab and Haryana at Chandigarh, to protect its Intellectual Property Rights or prevent irreparable harm.

13.5 Consumer Disputes: Customers who qualify as “consumers” under the Consumer Protection Act, 2019 retain the right to approach the appropriate Consumer Dispute Redressal Commission as provided by law.

14. Grievance Officer

In accordance with the IT Act, 2000, Intermediary Rules, 2021, and DPDP Act, 2023, the Grievance Officer for Ready1Go is:

Response time: Complaints acknowledged within 24 hours; resolved within 15 days as required by the Intermediary Rules.

15. General

Amendment: Ready1Go may amend these Terms at any time with 30 days’ notice (or immediately where required by law). Continued use constitutes acceptance of the revised Terms.

Assignment: You may not assign this Agreement without Ready1Go’s prior written consent. Ready1Go may assign it in connection with a merger, acquisition, or asset sale.

Force Majeure: Neither party is liable for failure or delay caused by events beyond reasonable control including acts of God, war, government action, pandemic, internet outage, or power failure, consistent with the Indian Contract Act, 1872.

Severability: If any provision is found unenforceable by a competent court, it shall be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force.

Entire Agreement: This Agreement and all incorporated documents constitute the entire agreement between the parties and supersede all prior representations, understandings, and agreements relating to the Platform.

Independent Contractors: The parties are independent contractors. Nothing herein creates a partnership, agency, joint venture, or employment relationship.
